Welcome to AutoShorts! These Terms of Service ("Terms") govern your access to and use of the AutoShorts.app website and services (collectively, the "Service") operated by AutoShorts.app LLC ("AutoShorts," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

3. Description of Service

AutoShorts is an AI-powered video processing platform that transforms long-form videos into short-form vertical clips optimized for social media platforms like TikTok and Instagram.

Our Service includes:

• AI Moment Identification: Using Gemini 2.5 Flash to analyze video transcripts and identify compelling moments
• Speech-to-Text Transcription: Using WhisperX for accurate word-level timestamp generation
• Active Speaker Detection: Intelligent face tracking and identification of speaking individuals
• Vertical Video Conversion: Automatic cropping and formatting for 1080x1920 (TikTok/Instagram) format
• Animated Subtitles: Word-by-word animated captions with professional styling

4. User Accounts and Registration

To use AutoShorts, you must create an account and provide accurate information:

• You must be at least 13 years old to use our Service
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not share your account credentials with third parties

5. Credits and Payment

AutoShorts operates on a credit-based system:

Credit System:

• Each generated clip consumes 1 credit
• Credits are purchased through our payment processor, Stripe
• Credits are consumed only when clips are successfully generated
• If you run out of credits, video processing will be paused
• Credit purchases are final and non-refundable once used

Payment Terms:

• All payments are processed securely through Stripe. We do not store credit card information
• Prices are subject to change with notice to existing users
• You are responsible for any applicable taxes
• Failed payments may result in suspension of service until payment is resolved

6. User Content and Conduct

You retain ownership of any content you upload to AutoShorts. However, by uploading content, you grant us a limited license to process, store, and display your content as necessary to provide the Service.

You agree NOT to:

• Upload content that infringes on intellectual property rights of others
• Upload content containing illegal, harmful, threatening, abusive, harassing, defamatory, or obscene material
• Upload content containing viruses, malware, or malicious code
• Use the Service to spam, phish, or engage in fraudulent activities
• Attempt to circumvent security features or access unauthorized areas
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Use automated tools (bots, scrapers) without prior written permission
• Interfere with or disrupt the Service or servers/networks connected to it

We reserve the right to remove content and terminate accounts that violate these Terms without notice or refund.

7. Intellectual Property Rights

The AutoShorts Service, including its original content, features, and functionality, is owned by AutoShorts.app LLC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content:

• You retain all rights to content you upload to AutoShorts
• Generated clips are your property and may be used freely
• You are responsible for ensuring you have rights to upload and process all content
• We do not claim ownership of your videos or generated clips

8. Refund Policy

Due to the nature of our credit-based service and the computational costs involved:

• No Refunds for Used Credits: Credits that have been consumed to generate clips are non-refundable
• Unused Credits: If you have unused credits and wish to request a refund, please contact admin@autoshorts.app within 14 days of purchase
• Processing Failures: If processing fails due to technical issues on our end, affected credits will be refunded to your account
• Disputed Charges: If you believe you were charged in error, contact us immediately at admin@autoshorts.app

Refund requests are evaluated on a case-by-case basis and are at our sole discretion.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• At your request (you may delete your account at any time)

Upon termination, your right to use the Service will cease immediately. Any unused credits are forfeited upon account termination for cause. You may download your content before requesting account deletion.

10. Disclaimers and Limitation of Liability

Service Provided "AS IS":

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantees:

• We do not guarantee that the Service will be uninterrupted, secure, or error-free
• AI-generated results may vary in quality and accuracy
• Processing times may vary based on video length and system load
• We are not responsible for content generated from your videos

Limitation of Liability:

To the maximum extent permitted by law, AutoShorts.app LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

In no event shall our total liability exceed the amount you paid to AutoShorts in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless AutoShorts.app LLC, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you upload to the Service

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Dispute Resolution:

• Any dispute arising from these Terms or the Service shall first be resolved through good-faith negotiation
• If negotiation fails, disputes shall be resolved through binding arbitration in Concord, California
• You agree to waive your right to participate in class action lawsuits or class-wide arbitration

13. Miscellaneous

Entire Agreement:

These Terms constitute the entire agreement between you and AutoShorts regarding the Service and supersede all prior agreements and understandings.

Severability:

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver:

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment:

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
